1. Acceptance of Terms
These Terms and Conditions ("Terms") form a binding agreement between you and Galeano Software Co. ("GSC," "we," "us," or "our"), the publisher of the KountEm mobile application for iOS and Apple Watch (the "App") and the website at this domain (the "Site"). By downloading, installing, accessing, or using the App or Site, you agree to be bound by these Terms. If you do not agree, do not use the App or Site.
2. Eligibility
You must be at least 13 years of age (or the equivalent minimum age in your jurisdiction) to use the App. By using the App, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization.
3. License Grant
Subject to your compliance with these Terms, GSC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on devices you own or control, for your personal, non-commercial use. This license is governed by the additional terms of the Apple Media Services Terms and Conditions where applicable.
All rights not expressly granted to you are reserved by GSC and its licensors.
4. Accounts & Access
KountEm does not currently require an account to use its core features. If we introduce optional account-based features in the future, you will be responsible for maintaining the confidentiality of any credentials and for all activities that occur under your account.
5. User Content
The App allows you to create, store, and manage your own content — including item names, notes, photos, and tracking data ("User Content"). User Content is stored locally on your device.
You retain all rights in your User Content. To the extent any User Content is transmitted to us (for example, by including it in a support email or by submitting it through an AI feature that uses a remote service), you grant GSC a limited, non-exclusive, royalty-free license to process that content solely to provide the requested feature or support.
You are solely responsible for your User Content and for any consequences of creating, storing, or sharing it. You represent and warrant that you have all rights necessary in your User Content and that it does not infringe any third-party rights or violate any law.
6. Acceptable Use
You agree not to:
- Use the App in any unlawful way or for any unlawful purpose;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except as permitted by applicable law;
- Modify, adapt, translate, or create derivative works of the App;
- Remove, alter, or obscure any proprietary notices;
- Interfere with or disrupt the App, Site, or any connected services or networks;
- Use the App to store or transmit malicious code, viruses, or content that infringes a third party's intellectual property or privacy rights;
- Use the App to harass, harm, or impersonate any person or entity;
- Resell, rent, sublicense, or otherwise commercially exploit the App or Site;
- Use any automated means to access the App or Site for scraping, data harvesting, or similar activities.
7. AI Features
The App offers optional AI features such as "AI Create" (natural-language item creation), "AI Insights" (dynamic on-device insights), and "AI Suggestion" (smart prefill recommendations). These features may use on-device models provided by Apple or, where disclosed in-context, remote AI services.
AI outputs are generated automatically and may be inaccurate, incomplete, or unsuitable for your situation. You should review and verify any AI-generated output before relying on it. AI features are provided "as-is" and are not a substitute for professional advice (medical, legal, financial, automotive, or otherwise).
Do not submit personal data of others or sensitive personal data (such as health, financial, or government identifiers) to AI features.
8. In-App Purchases & Subscriptions
The App may, now or in the future, offer optional paid features, in-app purchases, or subscriptions. Pricing, payment, and refunds for any such offerings are handled by Apple via the App Store and are subject to Apple's Media Services Terms.
Subscriptions, if offered, automatically renew unless cancelled at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your App Store account settings.
9. Updates & Changes to the App
We may release updates, patches, and new versions of the App from time to time. Updates may add, modify, or remove features. You acknowledge that the App's functionality may change over time and that older versions may stop working as a result. We may also stop supporting older operating system versions.
10. Intellectual Property
The App, the Site, and all content (excluding your User Content) — including software, source code, design, graphics, logos, screenshots, text, and marks — are owned by GSC or its licensors and are protected by copyright, trademark, and other laws. "KountEm" and the KountEm logo are trademarks of GSC. You may not use them without our prior written consent, except for fair-use commentary or as expressly permitted.
11. Feedback
If you submit suggestions, ideas, or feedback about the App or Site, you grant GSC a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose without any obligation to you.
12. Third-Party Services & Apple
The App is distributed through the Apple App Store and uses Apple frameworks. Apple is not a party to these Terms. Apple has no obligation to provide maintenance or support for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
As required by Apple, you and GSC acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms, and that Apple has the right (but not the obligation) to enforce these Terms against you.
13. Disclaimer of Warranties
THE APP AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SECURE.
You acknowledge that the App is a utility for personal tracking. It is not a safety-critical product. Do not rely on KountEm alerts as the sole source of truth for any safety-, health-, or life-critical task. Always follow the manufacturer's instructions and applicable laws when servicing equipment, vehicles, or medical products.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GSC OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUES, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO THE APP OR SITE, EVEN IF GSC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) US$25.00.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless GSC and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to (a) your use of the App or Site, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third-party right or applicable law.
16. Termination
These Terms remain in effect until terminated. You may terminate them at any time by uninstalling the App and ceasing to use the Site. We may suspend or terminate your access to the App or Site at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law.
Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution survive termination.
17. Governing Law
These Terms are governed by the laws of the jurisdiction in which GSC is established, without regard to its conflict-of-laws principles. This choice of law does not deprive you of any mandatory consumer protections under the law of your country of residence.
18. Dispute Resolution & Arbitration
We prefer to resolve disputes informally. Please contact us first at support@galeanosoftware.com. If a dispute cannot be resolved informally within thirty (30) days, the parties agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding arbitration on an individual basis (no class actions), except where prohibited by applicable law. You retain the right to bring claims in small-claims court or to seek injunctive or equitable relief in a court of competent jurisdiction.
19. Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations. You represent that you are not located in any country subject to a comprehensive embargo by the relevant authorities, and that you are not on any list of restricted parties.
20. Changes to These Terms
We may modify these Terms from time to time. We will update the "Last updated" date at the top of this page. If we make material changes, we will notify you via in-App messaging, on the Site, or by other reasonable means. Your continued use of the App or Site after changes take effect constitutes acceptance of the revised Terms.
21. Miscellaneous
- Entire Agreement. These Terms (together with the Privacy Policy) constitute the entire agreement between you and GSC regarding the App and Site.
- Severability. If any provision of these Terms is held invalid, the remaining provisions remain in full force and effect.
- No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure. We are not liable for delays or failures resulting from events beyond our reasonable control.
